Wholesale Agreement Terms
Introduction
These Wholesale Agreement Terms (“Agreement”) govern the relationship between Belisse Studio, LLC (“Belisse,” “we,” “our,” or “us”) and approved wholesale partners (“Buyer,” “you,” or “your”).
By applying for or purchasing under a wholesale account, you agree to comply with the terms outlined below.
Wholesale Eligibility
Wholesale accounts are available to qualified businesses, including:
- Salons
- Licensed stylists
- Retailers
- Distributors
- Private label brands
Belisse Studio, LLC reserves the right to approve or deny any application at its sole discretion.
Ordering & Minimum Requirements
- All wholesale orders are subject to minimum order quantities (MOQs), which may vary by product
- Orders are processed upon confirmation and availability
- Belisse reserves the right to limit quantities or discontinue products at any time
Pricing
- Wholesale pricing is provided exclusively to approved partners
- Prices are subject to change without notice
- Pricing tiers may be based on volume or partnership level
- All prices are listed in USD unless otherwise specified
Payment Terms
- Payment is required prior to order processing unless otherwise agreed in writing
- Accepted payment methods may include wire transfer, credit card, or other approved methods
- Late or incomplete payments may result in order delays or account suspension
Shipping & Delivery
- Shipping costs are the responsibility of the buyer unless otherwise stated
- Delivery times are estimates and not guaranteed
- Belisse Studio, LLC is not responsible for delays caused by carriers, customs, or external factors
Returns & Exchanges
- All wholesale sales are final unless otherwise agreed in writing
- Claims for damaged or defective products must be submitted within a specified timeframe (e.g., 5–7 days of delivery)
- Approved returns or exchanges are subject to inspection and authorization
Product Use & Responsibility
- All products are intended for professional use
- Buyer assumes full responsibility for proper handling, installation, and application
- Belisse Studio, LLC is not liable for misuse, improper installation, or results achieved by the end user
Private Label & Branding
- Private label services may be offered upon request and subject to separate agreements
- Buyers may not use Belisse branding, trademarks, or product materials without written permission
- All custom branding must comply with agreed-upon specifications
Resale Policy
- Buyers are permitted to resell products in accordance with their business model
- Unauthorized resale on third-party marketplaces (e.g., Amazon, eBay) may be restricted unless approved
- Buyers must not misrepresent Belisse products or brand
Intellectual Property
All branding, content, product designs, and materials remain the property of Belisse Studio, LLC.
Unauthorized use, reproduction, or distribution is strictly prohibited.
Limitation of Liability
To the fullest extent permitted by law, Belisse Studio, LLC shall not be liable for any indirect, incidental, or consequential damages arising from:
- Product use or resale
- Business operations or losses
- Delays in fulfillment or delivery
Termination
Belisse Studio, LLC reserves the right to terminate any wholesale account at any time for:
- Violation of these terms
- Misuse of products or branding
- Failure to comply with payment or ordering requirements
Modifications
Belisse Studio, LLC may update these terms at any time. Continued use of a wholesale account constitutes acceptance of any changes.
Governing Law
This Agreement shall be governed by the laws of the State of New York.
